BILL'S BRIDGE TERMS OF USE

Beta Version — Website and Mobile Application

These Terms of Use ("Terms") are a binding agreement between you and Bill’s Bridge, Inc., a Delaware Corporation located at 25 N River Lane PMB 25495, Geneva, IL 60134 ("Bill's Bridge," "we," "us," or "our"), governing your access to and use of the Bill's Bridge website and mobile application (together, the "App"). By creating an account or otherwise using the App, you agree to these Terms and to the Bill's Bridge Privacy Policy, which is incorporated into these Terms by reference. If you are participating in our beta test, you must also accept the separate Beta Participation Agreement, which contains additional terms specific to the beta program (including confidentiality and feedback terms) and controls over these Terms with respect to any conflict on a beta-specific issue.

1. Acceptance of These Terms

You must affirmatively accept these Terms and the Privacy Policy — by checking a box or tapping "I Agree" that is not pre-checked — before you can create an account. We retain a record of each acceptance, including the account, the version of these Terms accepted, and the date and time of acceptance.

2. Eligibility and Account Registration

You must be at least 18 years old and capable of forming a binding contract to create and administer an account. A patient's own profile within an Advocate Circle may relate to a person of any age, including a minor; in that case, the account must be created and controlled by a parent or legal guardian on the minor's behalf. You are responsible for the accuracy of the information you provide, for maintaining the confidentiality of your login credentials, and for all activity that occurs under your account.

3. Description of the App

The App is a care-coordination and organizational tool designed to help a person facing a cancer diagnosis ("Patient") and the family members, friends, and other supporters the Patient chooses to invite (an "Advocate Circle") track medications, appointments, symptoms, and related information; access educational content ("Guides"); use organizational tools for future planning ("Planning Ahead," including Comfort Planning, Legacy, and Estate Planning content); and, when active, use an AI-assisted feature ("AI Companion") for educational and organizational support. The App is currently in beta, and features may be added, changed, limited, or removed, and the App's availability is not guaranteed, during this period.

4. Medical Disclaimer

Bill's Bridge is not a health care provider. We do not practice medicine, nursing, or any other licensed health profession, and nothing in the App, including Guides, Planning Ahead content, notes, or (when active) AI Companion output, constitutes medical advice, diagnosis, or treatment. The App does not create a doctor-patient or other clinical relationship between you and Bill's Bridge. Always seek the advice of a physician or other qualified health care provider with any questions you may have regarding a medical condition or treatment, and never disregard or delay seeking professional medical advice because of something you read or organized in the App.

IF YOU OR SOMEONE ELSE IS EXPERIENCING A MEDICAL EMERGENCY, CALL 911 (OR YOUR LOCAL EMERGENCY NUMBER) OR GO TO THE NEAREST EMERGENCY ROOM IMMEDIATELY. DO NOT USE THE APP TO COMMUNICATE AN EMERGENCY OR TO MONITOR A PATIENT'S CONDITION IN REAL TIME. BILL'S BRIDGE IS NOT AN EMERGENCY SERVICE, DOES NOT MONITOR ACCOUNT ACTIVITY FOR SIGNS OF A MEDICAL EMERGENCY, AND CANNOT GUARANTEE THAT ANY CARE CIRCLE MEMBER WILL SEE OR RESPOND TO INFORMATION YOU ENTER.

5. AI Companion Disclosure and Consent

When active, the AI Companion provides educational and organizational assistance only. For example, helping you prepare questions for a health care visit, summarizing your own notes, or explaining medical terms in plain language. Bill's Bridge AI features provide educational and organizational assistance. AI-generated information may be incomplete or incorrect and is not medical advice, diagnosis, or treatment. Review important information with a qualified healthcare professional. Bill's Bridge is not an emergency service.

  • The AI Companion does not diagnose disease, interpret imaging or lab results, prescribe or recommend medication or treatment changes, replace a physician, act as an emergency or triage service, or make autonomous clinical decisions.
  • AI Companion outputs may be incomplete, out of date, or incorrect, and you are responsible for reviewing them and discussing anything important with a qualified health care professional before acting on it.
  • The AI Companion may not be available at all times, and its availability and functionality may change during the beta.
  • By using the AI Companion, you consent to the processing of your information as described in the Privacy Policy.

6. Legal and Financial Disclaimer (Planning Ahead and Guides)

Content in the Planning Ahead section (including Comfort Planning, Legacy, and Estate Planning tools) and any legal or financial-themed Guides are provided for general educational and organizational purposes only and do not constitute legal, financial, tax, or estate-planning advice. Use of this content does not create an attorney-client, accountant-client, or financial-advisor relationship with Bill's Bridge or with any person or organization referenced in the App.

  • Laws governing wills, advance directives, powers of attorney, and estate planning vary significantly by state, change over time, and depend on your individual circumstances; content in the App may not reflect the law of your state or your current circumstances.
  • Completing information in the Planning Ahead section does not, by itself, create a valid, binding, or enforceable legal document, and does not substitute for consulting a licensed attorney or financial advisor.
  • Content relating to comfort, legacy, or end-of-life topics is optional, is never triggered automatically based on your diagnosis or any other information in your account, and should not be understood to suggest an imminent prognosis.

We strongly encourage you to consult a licensed attorney, financial advisor, or other qualified professional in your state before making legal, financial, or estate-planning decisions.

7. Guides and Educational Content Disclaimer

Guides are general educational resources about cancer, caregiving, palliative care, hospice, grief, and related topics. Guides are not exhaustive, may not reflect the most current medical research or guidance, and are being reviewed on an ongoing basis as we build out our content-governance program; some Guides may not yet reflect a completed clinical review. Where a Guide identifies its sources, those sources are provided for reference only, and identifying a source does not imply that organization's endorsement of the App. Mention of any provider, treatment, product, or organization in a Guide is not an endorsement or recommendation by Bill's Bridge.

8. The Support Wall

The App may offer users the option to make a one-time $2.99 contribution (the "Support Wall") intended to benefit a cancer-related charitable cause. As of the date of these Terms, Support Wall payments are not active. If and when this feature is activated, additional terms describing the intended recipient, processing of the contribution, and any refund policy will be presented to you before you make a contribution, and this Section will be updated accordingly. A Support Wall contribution should not be assumed to be a tax-deductible charitable donation unless and until we confirm that structure.

9. Advocate Circle Roles and Responsibilities

You are responsible for the accuracy of information you enter and for the permissions you grant to people you invite into an AdvocateCircle. Access within an AdvocateCircle is based solely on the role and permissions assigned and not on family relationship nor on any professional credential. A person invited to an Advocate Circle in the Professional Care Person role (such as a home health worker, hospice professional, or patient advocate) receives only the access affirmatively granted to that role; inviting someone as a Professional Care Person does not create an employment, agency, supervisory, or endorsement relationship between that person and Bill's Bridge, and Bill's Bridge does not verify the license, credentials, or background of any Professional Care Person or other Advocate Circle member.

10. User Content and Feedback

You retain ownership of the information and content you submit to the App ("User Content"). You grant Bill's Bridge a non-exclusive, worldwide, royalty-free license to host, store, reproduce, and display your User Content solely as necessary to provide and improve the App, consistent with the Privacy Policy. If you provide feedback, suggestions, or ideas about the App ("Feedback"), you grant Bill's Bridge a perpetual, irrevocable, royalty-free license to use that Feedback for any purpose without obligation or compensation to you. Beta participants should also review the Beta Participation Agreement, which contains additional Feedback and confidentiality terms specific to the beta program.

11. Acceptable Use

You agree not to:

  • use the App to store or share another person's health or personal information without that person's knowledge and appropriate authorization;
  • impersonate any person or entity, or misrepresent your affiliation with a person or entity;
  • attempt to gain unauthorized access to another user's account or to any part of the App or its underlying systems;
  • reverse engineer, decompile, or attempt to derive the source code of the App, except to the extent applicable law prohibits this restriction;
  • use the AI Companion or any other feature for a purpose inconsistent with Sections 4 and 5 of these Terms;
  • upload or transmit content that is unlawful, infringing, defamatory, or that violates the rights of any third party; or
  • use the App in any manner that could disable, overburden, damage, or impair it or interfere with any other party's use of the App.

12. Intellectual Property

The App, including its design, software, Guides, and other content we create (excluding your User Content), is owned by Bill’s Bridge, Inc. or its licensors and is protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the App for your own personal, non-commercial use.

13. Third-Party Services and Links

The App may link to, or integrate with, third-party services (such as Google Calendar) and may reference third-party organizations or resources in Guides. We do not control and are not responsible for the content, privacy practices, or availability of third-party services or websites. Your use of a third-party service is governed by that provider's own terms and privacy policy.

14. Disclaimers

BILL’S BRIDGE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the App will be uninterrupted, secure, timely, or error-free, that defects will be corrected, or that the App or its content (including Guides and AI Companion output) will be accurate, complete, or current — this is especially true during the beta period. Some states do not allow the exclusion of certain implied warranties, so some of the above exclusions may not apply to you.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BILL'S BRIDGE AND ITS OFFICERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE APP, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

16. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Bill's Bridge and its officers, employees, and contractors from any claim, loss, or expense (including reasonable attorneys' fees) arising out of your violation of these Terms, your User Content, or your misuse of the App.

17. Governing Law and Disputes

These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-laws principles, and any dispute arising out of or relating to these Terms or the App will be brought exclusively in the state or federal courts located in Cook County, Illinois, and you consent to the personal jurisdiction of those courts.

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.

(a) Agreement to Arbitrate. You and Bill's Bridge Inc. ("Bill's Bridge") agree that any dispute, claim, or controversy arising out of or relating to this Agreement, the Terms of Use, the Privacy Policy, or your use of the App (a "Dispute") will be resolved through binding, individual arbitration rather than in court, except as set out in Section (f) below. This arbitration agreement is governed by the Federal Arbitration Act (9 U.S.C. §§ 1–16) and survives termination of your relationship with Bill's Bridge.

(b) Informal Resolution First. Before starting an arbitration, you and Bill's Bridge each agree to first contact the other and attempt in good faith to resolve the Dispute informally for at least [THIRTY (30)] days. You may contact Bill's Bridge at support@bills-bridge.com; Bill's Bridge will contact you using the contact information on your account. Neither party may commence an arbitration until this informal process has been completed.

(c) Arbitration Procedures. Any arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect (available at www.adr.org), except as modified by this Agreement. The arbitration will be conducted by a single, neutral arbitrator and, at your election and to the extent permitted by the AAA Consumer Arbitration Rules, may be conducted by telephone, videoconference, on written submissions, or in person in [COUNTY] County, Illinois, or another mutually agreed location.

(d) Fees. Payment of filing, administration, and arbitrator fees is governed by the AAA Consumer Arbitration Rules, and Bill's Bridge will pay such fees for claims totaling less than $[10,000], unless the arbitrator determines the arbitration was frivolous or brought for an improper purpose. Each party bears its own attorneys' fees and costs unless the arbitrator awards fees under applicable law.

(e) No Class Actions; Individual Basis Only. YOU AND BILL'S BRIDGE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION OR PROCEEDING. Unless you and Bill's Bridge agree otherwise in writing, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a class, collective, or representative proceeding.

(f) Exceptions. Notwithstanding the foregoing: (i) either party may bring an individual action in small claims court for Disputes within that court's jurisdiction; and (ii) either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of a party's confidentiality obligations (Section 4) or intellectual property rights, pending completion of arbitration.

(g) Severability. If any part of this arbitration agreement is found unenforceable, the remainder remains in force, except that if the class action waiver in Section (e) is found unenforceable as to a particular claim or request for relief, only that claim or request for relief is severed from arbitration and may proceed in court, with remaining claims proceeding in arbitration.

(h) Jury Trial Waiver. YOU AND BILL'S BRIDGE EACH WAIVE ANY RIGHT TO A JURY TRIAL FOR ANY DISPUTE SUBJECT TO ARBITRATION UNDER THIS SECTION.

(i) Governing Law. Except to the extent this Section requires application of the Federal Arbitration Act, this Agreement is governed by the laws of the State of Illinois, without regard to its conflict-of-laws principles.

18. Suspension and Termination

We may suspend or terminate your access to Bill’s Bridge at any time, with or without cause, and in particular during the beta period we do not guarantee continued availability of the App or any feature. You may stop using Bill’s Bridge and delete your account at any time. Provisions of these Terms that by their nature should survive termination (including Sections 4 through 7 and 12 through 17) will survive.

19. Changes to These Terms and to the Beta

The features, timeline, and availability of the App may change during the beta period. We may update these Terms from time to time; if we make a material change, we will notify you and, where required by law, obtain your renewed acceptance before the change takes effect.

20. Relationship to the Beta Participation Agreement

If you are participating in the beta program, the separate Beta Participation Agreement contains additional terms specific to that program, including confidentiality of pre-release features, our right to use your feedback, restrictions on screenshots and recordings, voluntary participation and withdrawal, and beta-specific data handling and account/data deletion terms. In the event of a conflict between these Terms and the Beta Participation Agreement on a beta-specific matter, the Beta Participation Agreement controls.

21. Statement Regarding HIPAA

Bill's Bridge is not a health care provider, health plan, or health care clearinghouse, and, as of the date of these Terms, does not create, receive, maintain, or transmit health information on behalf of a HIPAA-covered entity. Information you provide through the App is therefore generally not regulated as protected health information under HIPAA. See the Privacy Policy for more information about how we protect your information regardless of HIPAA's applicability.

23. Miscellaneous

These Terms, together with the Privacy Policy and, for beta participants, the Beta Participation Agreement, constitute the entire agreement between you and Bill's Bridge regarding the App. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision will not be a waiver of that right or provision. You may not assign these Terms without our consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets, or in connection with a conversion of Bill’s Bridge, Inc. to a corporation.
